User Agreement

Effective October 11, 2025

This User Agreement (“Agreement” or “Terms”) is effective [Date Site Goes Live] and applies to your use of the Mayberry platform, which is operated by Block Networks Inc. (“Mayberry,” “we,” “us,” or “our”). By accessing or using Mayberry, you agree to these Terms.
1. Our Services

Welcome to Mayberry! Mayberry is a social feed for home and neighborhood discovery, built for homeowners and home seekers to share valuable information and connect with one another.
We believe that when people come together around their homes and neighborhoods, it creates stronger, more informed communities. Mayberry gives you a place to discover insights about homes, share your own perspective, and engage with others who care about where they live — or where they might live one day.
These Terms govern your rights and responsibilities related to our websites, apps, products, features, and services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms, whether as a registered Member or an unregistered Visitor.

  • By registering, you become a Member and may access additional features, such as claiming a home profile, posting updates, and commenting in discussions.
  • Visitors may still be able to view certain portions of the Services but will not have full functionality.
2. Joining Mayberry

a. Eligibility

You may use our Services only if:
  1. You are at least 18 years old (or the minimum age of majority in your state);
  2. You are legally able to form a binding contract;
  3. You provide accurate and truthful registration information;
  4. You are not prohibited by law from using online services; and
  5. Your account has not been previously suspended or terminated by Mayberry for violating these Terms.
State Requirements. Residents of certain states may have additional restrictions. For example, under Texas law (effective September 1, 2024), minors under the age of 18 are not permitted to register for Mayberry.

b. Registering as a Member

When you register, you must provide your
real name, street address, and other identifying information so that Mayberry can verify your residence. By doing so, you become a Member on Mayberry.

You agree that all information you provide is true and accurate, and you will keep it up to date. Submitting false information, impersonating another person, or misrepresenting your residence is strictly prohibited and may result in suspension or termination of your account.

c. Claiming a Home Profile

If you are the owner of the home or condominium unitat the address you register, you may claim and manage the home profile associated with that property. Claiming a home profile allows you to:
  • Upload and manage photos and descriptions of the home,
  • Share updates or details about the home and neighborhood, and
  • Approve or invite others (such as agents or co-owners) to contribute in the future.
By claiming a home profile, you represent and warrant that you are the rightful owner or an authorized party for that property.

d. Non-Owners and Other Members

If you do not own the home or property at the address you register (for example, if you are a renter, apartment dweller, or other resident), you may still join Mayberry as a Member. You will have access to the social feed and community features, but you will not be able to claim or manage a home profile.

e. Posting Identity

Although Mayberry requires you to register with your real name and verified address, you may choose how you appear when posting in the feed:
  • Real Name (e.g., “Jane Doe”), or
  • Semi-anonymous Identifier (e.g., “Preston Hollow Resident”)

This system ensures that all Members are accountable for the accuracy of their registration information while allowing flexibility in how they present themselves publicly.

​​Display of Your Identity
  • When you post content (such as comments, photos, or discussions), your chosen display identity — either your real name or a semi-anonymous identifier — will appear with your contribution.
  • Mayberry will never display your street address, full registration details, or other personal information with your posts, comments, or reactions.
  • Internally, Mayberry retains your real name and verified address for account verification, trust and safety, and compliance purposes.
3. Accounts and Identity
  • Members may create only one account per individual.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • You agree to keep your registration information accurate and up to date.
  • You must notify us immediately of any unauthorized use of your account.
  • Mayberry reserves the right to suspend or terminate accounts created with false or misleading information.
4. Content and Rights

a. Member Content
  • Mayberry allows Members to post, publish, upload, transmit, or otherwise share content such as profile information, photos, images, videos, comments, reviews, recommendations, questions, and other material (“Member Content”).
  • You retain ownership of the Member Content you post. Nothing in these Terms takes away your rights to the content you create and share.

b. License Grant to Mayberry

By posting or sharing Member Content on Mayberry, you grant Block Networks Inc. (“Mayberry”) a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to host, use, distribute, modify, copy, publish, translate, display, and create derivative works of your Member Content in connection with operating, improving, and promoting the Services.

This license continues for as long as your Member Content is available on Mayberry. If you delete your account or remove specific Member Content, this license will end for that content. However:

  • Backups and operations: Mayberry may retain copies of your Member Content for a reasonable period as needed for backups, technical operations, legal compliance, dispute resolution, and enforcement of these Terms.
  • Shared content: If your Member Content has been shared with, commented on, or relied upon by other Members or third parties, it may continue to be visible to them even after you delete it or close your account.
  • Derived or aggregated uses: Mayberry may also continue to use aggregated, de-identified, or derivative data that incorporates your Member Content.
c. License Grant to Other Members

You also grant each Member of Mayberry a non-exclusive license to access and use your Member Content through the Services, consistent with Mayberry’s features and these Terms.

d. Use of Your Content in Mayberry Promotions

From time to time, Mayberry may highlight Member Content created on the Services — such as posts, comments, or discussions — to showcase the activity and culture of the platform. This may include featuring content in promotional emails, product communications, or marketing materials designed to encourage others to join or engage with Mayberry.

We will not use your name or personal information for these purposes without your express permission.

e. Third-Party Images and Content

If you upload photos, videos, images, or other materials originally created by a third party (including professional photographers, agents, or other services), you represent and warrant that you have secured all necessary rights to share those materials on Mayberry. By uploading them, you grant Mayberry the same license described above, and you acknowledge that you — not Mayberry — are solely responsible for ensuring the content is lawfully uploaded.

f. Feedback

We welcome feedback and suggestions about Mayberry. By submitting feedback, you grant Mayberry an unrestricted, perpetual, irrevocable, royalty-free license to use it for any purpose without obligation or compensation to you.

g. Content Sharing Restrictions

You may share Mayberry content using our built-in features (such as a share button). Copying, scraping, or redistributing Member Content in other ways, including using automated tools or AI training datasets, is strictly prohibited.
5. Community Guidelines & Prohibited Conduct

Our Community Model

These Terms incorporate by reference our Community Guidelines (the “Guidelines”), available at [https://mayberryapp.com/community-guidelines]. The Guidelines apply to all Content and activity on Mayberry, including posts, comments, Home Profiles, Groups, and direct messages.
Mayberry is built on trust. Members register with their real names and verified addresses, but in the feed may choose to post under a semi-anonymous identity that includes only their neighborhood or town name, such as “Preston Hollow Resident.” This balance between authenticity and privacy only works if everyone participates honestly and respectfully. To keep Mayberry useful and safe, all Members must follow these Community Guidelines

a. Community Principles

Members are expected to:
  • Provide truthful information when registering, claiming a home profile, or posting;
  • Treat others with respect and civility;
  • Share insights that add value for homeowners and home seekers;
  • Use Mayberry for genuine discovery and connection, not for harassment, spam, or unrelated promotion;
b. Prohibited Conduct

You agree that you will not, directly or indirectly:

  1. Misrepresentation
    • Provide false or misleading information when registering or posting;
    • Impersonate another person or misrepresent your relationship to a home or neighborhood.
  2. Harassment & Abuse
    • Harass, threaten, or bully other Members;
    • Post content that is defamatory, discriminatory, obscene, or otherwise harmful.
  3. Spam & Solicitation
    • Post repetitive, irrelevant, or commercial content unrelated to home or neighborhood discovery;
    • Use Mayberry primarily to advertise or solicit without Mayberry’s prior approval.
  4. Illegal or Unsafe Activity
    • Promote or engage in unlawful, fraudulent, or unsafe activity;
    • Violate any applicable law or regulation.
  5. Scraping & Unauthorized Use
    • Use bots, scrapers, crawlers, or other automated tools to access or copy Mayberry;
    • Collect or harvest information about Members or home profiles without permission.
  6. Security Violations
    • Attempt to hack, disrupt, or overload Mayberry;
    • Access or attempt to access accounts, data, or systems without authorization.
  7. Intellectual Property Violations

    You agree that you will not, directly or indirectly:

    • Upload or share content that infringes on others’ copyrights, trademarks, or proprietary rights;
    • Upload or share photos, videos, images, or other materials that you do not own or lack permission to use — even if the materials depict your own home or property.
c. Enforcement

Mayberry may investigate and take action for violations of these Guidelines, including removing content, suspending or terminating accounts, or reporting unlawful activity to authorities. We may limit distribution of, label, demote, or remove any Content that we determine violates the Guidelines. We reserve the right to proactively moderate Content; however, we expressly disclaim any obligation to monitor or review Content. If you violate the Guidelines, these Terms, or our other policies, or if you infringe intellectual property, or otherwise engage in behavior that we believe may harm Mayberry, a neighborhood, or any Member, we may (without notice) remove Content; restrict features or visibility; suspend, delete, or deactivate your Account; limit Account privileges; reclaim or restrict access to a Home Profile; refuse or discontinue service to you.

d. Reporting

Members are encouraged to report violations of these Guidelines through in-app reporting tools or by contacting us directly.
6. Enforcement & Termination

a. Our Rights

Mayberry may, at its sole discretion, investigate, suspend, limit, or terminate your account, remove or restrict access to Member Content, or take other actions we deem necessary if we believe you have violated these Terms, our Community Guidelines, or applicable law. We may also take steps to prevent unauthorized use of the Services or protect the safety of Members and the integrity of the platform.

b. Your Choices

You may stop using Mayberry at any time and may request that your account be deleted through the settings available in the Services. Deleting your account does not automatically remove all of your Member Content, which may continue to be visible to other Members if previously shared, or may be retained by Mayberry for operational, legal, or compliance purposes (as described in Section 4).

c. No Liability

Mayberry will not be liable to you or any third party for any modification, suspension, or termination of your access to the Services or your account.

d. Law Enforcement & Legal Requests

Where appropriate, Mayberry may report suspected unlawful activity to authorities, cooperate with investigations, or comply with lawful requests such as subpoenas or court orders.
7. Disclaimers & Limitation of Liability

a. Disclaimers

The Services and all content available through Mayberry are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied.

  • Mayberry does not control or endorse Member Content and makes no representations about its accuracy, reliability, or quality.
  • Mayberry does not guarantee that the Services will be uninterrupted, secure, or error-free.
  • To the fullest extent permitted by law, Mayberry disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

b. Assumption of Risk

You understand and agree that you use Mayberry at your own risk. You are solely responsible for your interactions with other Members and for the decisions you make based on content available through the Services.

c. Limitation of Liability

To the maximum extent permitted by law:
  • Mayberry and its affiliates, officers, directors, employees, agents, and partners will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of the Services.
  • In no event will Mayberry’s total liability for all claims relating to the Services exceed one hundred U.S. dollars (US $100) or the amount you paid to Mayberry in the past twelve months, whichever is greater.

d. Exclusions

Some jurisdictions do not allow limitations on implied warranties or the exclusion of liability for certain damages. In those cases, some of the above limitations may not apply to you, and you may have additional rights under your state’s laws.
8. Indemnification

You agree to indemnify, defend, and hold harmless Block Networks Inc. (“Mayberry”), its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your access to or use of the Services;
  • Your Member Content, including photos, images, or other materials you upload or share;
  • Your violation of these Terms;
  • Your infringement or alleged infringement of any third party’s intellectual property, privacy, or other rights; or
  • Any dispute or issue between you and another Member or third party.
Mayberry reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of these claims and not to settle any matter without our prior written consent.
9. Copyright Policy

Mayberry respects the intellectual property rights of others and expects Members to do the same. We respond to notices of alleged infringement in accordance with the Digital Millennium Copyright Act (“DMCA”). You can find our DMCA Copyright Policy, including instructions for submitting a notice or counter-notice, here.
10. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms, the Services, or your relationship with Mayberry that is not subject to arbitration (as described below) will be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
11. Dispute Resolution & Arbitration

a. Agreement to Arbitrate

You and Mayberry agree that any disputes, claims, or controversies arising out of or relating to these Terms, the Services, or your relationship with Mayberry will be resolved through final and binding arbitration, rather than in court, except that you may assert qualifying claims in small claims court if they meet the requirements.

b. Arbitration Rules and Forum

Arbitration will be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. Unless you and Mayberry agree otherwise, the arbitration will be conducted in the county where you reside.

c. Arbitrator’s Authority

The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of these Terms, including the scope of this arbitration provision.

d. Class Action Waiver

You and Mayberry agree that all claims will be brought on an individual basis, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not permitted.

e. Exceptions

This arbitration agreement does not apply to claims for injunctive or equitable relief in connection with the enforcement or protection of Mayberry’s intellectual property rights, which may be brought in the courts specified in Section 9.

f. Opt-Out

You may opt out of this arbitration agreement by providing written notice to Mayberry within 30 days of the date you first accepted these Terms. If you opt out, you will still be bound by the remainder of these Terms.

g. Survival

This arbitration agreement survives termination of your account or these Terms.
12. General Terms

a. Entire Agreement

These Terms constitute the entire agreement between you and Mayberry regarding the Services and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter.

b. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

c. No Waiver

Failure by Mayberry to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

d. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Mayberry’s prior written consent. Any attempt by you to do so without such consent will be null and void. Mayberry may freely assign or transfer these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

e. Headings

Section titles and headings are for convenience only and have no legal or contractual effect.

f. Notices

You agree that Mayberry may provide you with notices, including those regarding changes to these Terms, by email, regular mail, or postings on the Services.

g. Force Majeure

Mayberry will not be liable or responsible for any failure or delay in performance caused by events outside of our reasonable control, including acts of God, natural disasters, government actions, labor disputes, power failures, internet disruptions, or equipment failures.
